Terms of Service

Effective date: May 11, 2026

These Terms of Service ("Terms") govern your use of armorind.com (the "Site") and any purchase of products from Armor Industrial ("Armor," "we," "us"). By placing an order or creating an account, you agree to these Terms.

1. B2B Sales

Armor sells industrial equipment business-to-business. By placing an order you represent that you are a business or authorized agent of a business purchasing for commercial or industrial use, and that you have authority to bind your organization to these Terms.

2. Quotes and Pricing

  • Prices on the Site are list prices in US dollars and are subject to change without notice. Quoted prices and contract tier pricing remain valid for the period stated on the quote (default: 30 days).
  • Quotes are non-binding until acknowledged in writing as a confirmed order.
  • Taxes, shipping, and fees are added at checkout or on the invoice unless otherwise noted.

3. Orders

  • Orders are accepted when we send an order confirmation email. We reserve the right to refuse or cancel any order at our discretion, including for pricing errors, suspected fraud, or items no longer available.
  • Minimum order quantities apply to certain products (for example, breathers and spin-on filters are sold in cases of six). These minimums are shown on the product page and enforced at checkout.
  • Custom-configured and quote-required products are non-cancelable and non-returnable once production has begun. See our Refund Policy for details.

4. Payment

We accept credit card payment at checkout for accounts without established credit terms. Approved B2B accounts may invoice on net-30 terms. Past-due invoices accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. We may suspend shipments or revoke credit terms on past-due accounts.

5. Shipping and Risk of Loss

Title and risk of loss pass to you upon delivery to the carrier (FOB Origin). Claims for shipping damage must follow the Shipping Policy.

6. Returns

Returns are governed by our Refund Policy, including a 30% restocking fee and the requirement of an RMA number.

7. Warranty

Products are covered by the manufacturer's warranty that accompanies the product. Armor Industrial passes through, but does not extend or expand, the manufacturer's warranty. We will assist with warranty claims and coordinate with the manufacturer.

EXCEPT FOR THE MANUFACTURER WARRANTY, ARMOR DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMOR'S LIABILITY ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF ANY PRODUCT IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT AT ISSUE. ARMOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, OR DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify and hold Armor harmless from any claim, liability, or expense arising out of your misuse of a product, your violation of these Terms, or your violation of any law or third-party right.

10. Intellectual Property

The Site, our product catalog, photographs, and written content are the property of Armor or licensed to us. You may not reproduce, republish, or use them for commercial purposes without our prior written consent. Manufacturer brand names and trademarks remain the property of their respective owners.

11. Account Security

You are responsible for keeping your B2B account credentials confidential. Notify us immediately if you suspect unauthorized access. You are responsible for activity on your account until we have been notified and have had reasonable time to lock it.

12. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Oregon, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. The "Effective date" at the top reflects the most recent revision. Continued use of the Site or placement of new orders after a revision constitutes acceptance of the updated Terms.
